Terms of Service for Kampain Proposal Builder & Kampain.ai

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Kampain.ai ("Kampain," "we," "us," or "our"), governing your access to and use of the Kampain Proposal Builder application, the Kampain.ai website, web applications, APIs, subdomains (including health-reports.kampain.ai), and related tools (collectively, the "Service").

By creating an account, accessing, or using the Service, you signify your acceptance of these Terms. If you use the Service on behalf of a company, agency, or other legal entity, you represent and warrant that you have the full legal authority to bind that entity to these Terms.

1. Description of the Service

Kampain.ai provides an integrated marketing workspace designed for modern marketing agencies, enterprises, and brand teams. The Service includes, but is not limited to:

• AI Social Studio & Content Automation: Automated brand intelligence extraction, content calendars, cross-platform scheduling, and draft generation for social media channels (Meta/Facebook/Instagram, LinkedIn, X, TikTok, YouTube).
• Fluid UI & Funnel Builder: Dynamic landing page creation, design intent routing, and transactional visual editing engines.
• Commercial Proposal Studio & Cheenti DeepCrawl™: Proprietary technical SEO/AEO audit engine, automated search intent clustering, real-time keyword intelligence, and commercial rate proposal generation.
• Marketing Dashboards & Health Reports: Centralized multi-channel analytics, PPC & SEO health scores, conversion metrics, and client-facing performance reports.
• Enterprise CRM & Lead Management: Contact relationship management, custom lead capture forms, deal pipelines, and automated synchronization.

2. Eligibility and Account Registration

To use the Service, you must be at least 18 years old and capable of forming a binding contract. When registering, you agree to provide accurate, current, and complete information and to keep your account details updated.

You are solely responsible for maintaining the confidentiality of your account credentials, including API keys, passwords, and session tokens. You must notify us immediately at [email protected] of any unauthorized access or security breach.

3. User Responsibilities and Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, national, or international law, regulation, or industry standard;
• Publish, upload, or transmit content that is defamatory, obscene, fraudulent, infringing, or harmful;
• Connect third-party accounts, advertising accounts, or web properties that you do not own or have explicit written authorization to administer;
• Scrape, crawl, or reverse-engineer any portion of the Service, underlying AI models, or proprietary engines (including Cheenti DeepCrawl™);
• Interfere with, overburden, or disrupt the integrity or performance of our servers, networks, or API infrastructure;
• Attempt to bypass security controls, credit gating, role permissions, or rate ceilings.

4. Third-Party Platforms and API Integrations

The Service enables optional integration with third-party platforms, including but not limited to Google (Google Ads API, Google Analytics, Google Cloud Vertex AI), Meta (Facebook & Instagram Graph APIs), LinkedIn, and X.

• Independent Platform Terms: Your use of connected third-party platforms is governed by each provider's respective terms of service and privacy policies.
• Google Ads & Marketing APIs: By connecting Google services, you agree to comply with all applicable Google Developer Policies, including the Google API Services User Data Policy.
• Platform Availability: Kampain.ai is not responsible for outages, API deprecations, rate-limit adjustments, or policy enforcement actions enacted by third-party platforms.

5. Intellectual Property Rights and Content Ownership

Your Content and Data

You retain all right, title, and interest in and to any proprietary business assets, logos, brand manuals, campaign briefs, client lists, and copy uploaded to the Service ("User Content"). You grant Kampain.ai a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and process User Content strictly as necessary to provide, secure, and operate the Service on your behalf.

Kampain.ai Property

All software, algorithms, UI designs, codebases, documentation, trademarks, and proprietary technology—including the Cheenti DeepCrawl™ audit engine and Fluid UI streaming architecture—are the exclusive property of Kampain.ai and its licensors. You are granted a limited, non-transferable, revocable license to access the Service in accordance with your subscription plan.

6. AI-Assisted Output and Commercial Estimates

Certain features of the Service use artificial intelligence to generate drafts, creative assets, audience suggestions, code, and search intent categorizations.

• Review and Approval: Generative AI outputs are provided for editorial assistance. You are solely responsible for reviewing, vetting, and approving all content, ad copy, and published posts before public distribution or client submission.
• Commercial Proposals & Search Volumes: Commercial pricing recommendations, traffic projections, and audit metrics are operational estimates derived from connected data sources, rate templates, and historical benchmarks. They do not constitute financial or performance guarantees.

7. Fees, Credits, and Subscriptions

Access to certain features or usage tiers may require a paid subscription or consumption of platform credits. All pricing terms, renewal periods, and credit allowances are presented at the time of purchase. Fees are non-refundable except as required by law or as expressly agreed in writing.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KAMPAIN.AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

10. Termination and Suspension

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, in the event of any breach of these Terms, non-payment, or security risks. You may terminate your account at any time by contacting us or following the account deletion process detailed in our Privacy Policy.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of competent jurisdiction located in Kolkata, West Bengal, India.
